1. Agreement to Terms & Service Scope

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Invoice Makr ("the app", "we", "us", or "our"), governing your access to and use of the Invoice Makr web application, progressive web application (PWA), and associated billing services available at https://invoicemakr.app.

By accessing, browsing, registering an account, or creating invoices through the service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with any part of these Terms, you must discontinue using the application.

2. User Eligibility & Commercial Authority

You represent and warrant that:

• You are at least 18 years of age or possess the legal capacity to enter into binding commercial contracts under applicable law (including the Indian Contract Act, 1872).
• If you are accessing the service on behalf of a company, partnership, LLP, or sole proprietorship, you have full authority to bind that business entity to these Terms.
• Any business details (email, phone number, company name, GSTIN) provided by you are truthful, accurate, and current.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Offline-First Architecture & Data Storage

Invoice Makr is designed with an offline-first architectural model to prioritize user speed and absolute data privacy:

• Local Storage: Invoices, estimates, client contacts, and business profiles are saved locally in your web browser (localStorage / IndexedDB). Core document creation and PDF generation operate seamlessly without an internet connection.
• Cloud Synchronization: Authenticated users benefit from optional encrypted cloud synchronization across multiple devices.
• Data Loss Responsibility: You acknowledge that clearing your browser cache or application site data on an unauthenticated device without exporting a JSON backup will erase locally stored records.

4. Subscription Plans & Monetization

Invoice Makr operates on a transparent freemium model:

• Free Lifetime Tier: Your first 5 invoices are completely free forever. No payment method or card details are required. Deleting or editing past invoices does not reset or replenish the 5-invoice trial quota.
• Pro Plan (₹499 / Month): Creating a 6th invoice, generating Estimates, automated Recurring Retainers, automated due-date reminders, and premium designer templates require an active Pro subscription.
• Automatic Renewal: Subscriptions renew automatically each month at ₹499/month unless canceled before the billing date in Settings.
• Cancellation: You may cancel anytime. Pro features will remain active until the end of the paid billing period, after which your account safely transitions to the Free tier. Your stored data is never deleted upon cancellation.

5. Payment Processing & Third-Party Gateways

All monetary transactions—including subscription fees and client payment links—are processed through secure, PCI-DSS compliant payment aggregators (such as Razorpay, UPI, Net Banking, and major debit/credit cards):

• Invoice Makr does not store or process raw credit card numbers, debit card PINs, CVVs, or internet banking passwords on its servers.
• Third-party payment gateways operate under their own independent terms of service and privacy standards.
• We are not liable for transaction failures, bank network timeouts, or authorization declines caused by your issuing bank or payment processor.

6. GST, Taxation & Statutory Accounting Disclaimer

Important Tax Notice:

• Invoice Makr includes automated calculation utilities for Goods and Services Tax (GST), CGST, SGST, IGST splits, HSN/SAC codes, and tax totals.
• Non-Advisory Disclaimer: Invoice Makr is a software utility and does not provide certified accounting, legal, or tax advisory services.
• The user assumes full, sole responsibility for:
  1. Selecting the correct GST rates, HSN/SAC codes, and tax classifications for their items.
  2. Verifying the statutory validity of tax invoices and credit notes.
  3. Complying with mandatory government e-invoicing thresholds and filing timely statutory returns (e.g., GSTR-1, GSTR-3B) with the GST portal.
• Invoice Makr and its developers shall not be held liable for tax penalties, notices, interest, or audits resulting from your use of the application.

7. Shareable Public Pay Links & UPI Settlements

The application enables the generation of secure public invoice links (e.g., #/pay/...) featuring instant UPI QR codes and deep links for mobile UPI applications (Google Pay, PhonePe, Paytm):

• You are solely responsible for ensuring the accuracy of your UPI ID, bank account numbers, IFSC codes, and payment details.
• We do not intermediate client-to-merchant UPI funds; payment settlements occur directly between your client's bank account and your designated bank account.

8. User Content & Intellectual Property

• Your Data Belongs to You: You retain 100% intellectual property ownership, copyright, and title to all customer directories, business names, logos, line items, and invoices created through the app.
• Our Intellectual Property: The Invoice Makr name, logo, UI designs, code, documentation, vector PDF layouts, and algorithms are the proprietary property of Invoice Makr and protected under intellectual property and copyright laws.

9. Acceptable Use Policy & Prohibited Conduct

You agree that you will not use Invoice Makr to:

• Issue fraudulent, forged, misleading, or fictitious invoices.
• Facilitate money laundering, illegal gambling, sale of prohibited goods, or tax evasion schemes.
• Attempt to reverse engineer, decompile, or derive source code from the application.
• Circumvent, disable, or tamper with security features, subscription paywalls, or invoice quota counters.

10. Cancellation & 7-Day Refund Policy

• 7-Day Money-Back Guarantee: First-time Pro subscribers who are unsatisfied with the service may request a 100% full refund within 7 days of their initial charge—no questions asked.
• How to Request a Refund: Contact our support desk via WhatsApp at +91 92441 67101 or through Settings → Help & FAQ with your payment reference or registered email.
• Refund Timeline: Approved refunds are credited directly back to the original payment source within 5 to 10 business days according to standard banking cycles.

11. Disclaimer of Warranties & Limitation of Liability

• The service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
• To the fullest extent permitted by law, in no event shall Invoice Makr or its developers be liable for indirect, consequential, or punitive damages.
• Our total aggregate liability for any claim arising out of these Terms or the service shall be limited to the subscription fees actually paid by you in the twelve (12) months preceding the cause of action.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
